Terms and Conditions
1. Duties, Taxes & Compliance
§ All duties, tariffs, customs charges, and taxes are the sole responsibility of the Client/Consignee.
§ This applies globally, including but not limited to: USA, UK, EU, Canada, Gulf countries, Asia, Africa, South America, and Australia.
§ The Manufacturer accepts no liability for penalties, delays, or costs arising from customs checks, import restrictions, or regulatory changes.
§ Goods delayed, confiscated, or rejected by customs remain the Client’s responsibility (including storage, re-export, or destruction costs).
2. Restricted Territories
§ No shipments will be made to: Afghanistan, Burkina Faso, Haiti, Iran, Iraq, Israel, Palestine, Lebanon, Libya, Mali, Somalia, Sudan,
Uganda, Syria, Ukraine, Venezuela, Yemen, DRC, North Korea, Eritrea, Central African Republic, India, Brazil, Russia, Belarus.
§ Orders received from these regions will be voided without liability.
3. Orders, Mockups & Approvals
§ All specifications, mockups, and samples must be approved in writing before production.
§ Once approved: no cancellations, alterations, or refunds are permitted.
§ Errors in approved designs/specifications are the Client’s responsibility.
§ Industry tolerances apply to shades, colors, sizing, and finishing; minor variations are not defects.
4. Samples & Bulk Orders
§ Free samples are not provided; all samples are chargeable.
§ Clients bear the shipping cost of samples.
§ For bulk orders of 100+ identical pieces, the sample cost (excluding shipping) will be deducted from the invoice.
§ Adjustment applies only to identical products, not other styles or variations.
5. Payments
§ A non-refundable deposit is required to begin production.
§ Balance payment is due in full prior to shipment.
§ All banking, transfer, and intermediary charges are borne by the Client.
§ Delays due to late payment are not the Manufacturer’s responsibility.
6. Production & Delivery
§ Production/delivery schedules are estimates only.
§ The Manufacturer is not liable for delays caused by material shortages, strikes, port congestion, customs, logistics disruptions, or force majeure.
§ Title and risk pass to the Client once goods are handed to the carrier.
§ Shipment insurance is the Client’s responsibility. The Manufacturer is not liable for loss/damage in transit.
7. Fabric Care & Usage
§ Fabrics are supplied per approved specifications.
§ The Manufacturer is not liable for damage due to:
§ bleach, acids, or harsh chemicals;
§ industrial cleaning methods;
§ excessive heat (ironing, dryers, sunlight);
§ improper storage (humidity, insects, etc.);
§ unauthorized alterations by third parties.
§ Care instructions, where provided, must be followed. Misuse voids all warranties.
8. Sales Policy
§ All products are custom-made; sales are final.
§ No refunds, returns, or exchanges are permitted, including resale issues, regulatory barriers, or changes in business needs.
§ Verified manufacturing defects may be reviewed; remedies will be offered at the Manufacturer’s discretion.
9. Limitation of Liability
§ Manufacturer’s liability is strictly limited to repair or replacement of defective goods, if proven.
§ No liability for indirect or consequential losses (profits, penalties, resale losses, business interruptions).
§ Liability ends once goods are handed to the carrier.
10. Intellectual Property
§ All logos, designs, and artwork supplied by the Client are assumed to be legally owned/licensed.
§ The Client indemnifies the Manufacturer against any copyright, trademark, or IP disputes arising from Client-supplied designs.
